Legal Agreement Framework
These Terms and Conditions ("Agreement") form a legally binding contract between you ("Client", "User", "you") and JRW Real Estate Ltd ("Company", "we", "us", "our"), a company incorporated under the laws of England and Wales.
By engaging our services, accessing our website, or entering into any business relationship with us, you expressly acknowledge that you have read, understood, and unconditionally agree to be legally bound by all terms set forth in this Agreement.
Binding Nature: This Agreement creates enforceable legal obligations. If you do not agree to any provision, you must immediately discontinue all interactions with our company and refrain from using our services.
This Agreement supplements and works in conjunction with our Privacy Policy, Terms of Service, and any specific service agreements or contracts you may enter into with us. In case of conflicts between documents, specific service agreements take precedence, followed by these Terms and Conditions.
User Obligations and Legal Responsibilities
1. Legal Responsibilities and Conduct Requirements
As a user of our services, you are legally obligated to:
- Truthfulness and Accuracy: Provide complete, accurate, and truthful information in all dealings with us, including but not limited to financial circumstances, property requirements, and personal details
- Legal Compliance: Comply with all applicable local, national, and international laws, regulations, and ordinances in connection with your use of our services
- Professional Conduct: Maintain respectful, professional behaviour in all interactions with our staff, partners, and other clients
- Good Faith Dealing: Act in good faith in all business dealings and maintain the highest standards of honesty and integrity
- Due Diligence: Conduct appropriate due diligence on any property investments or purchases and seek independent professional advice where necessary
2. Prohibited Activities and Behaviours
You expressly agree not to engage in any of the following prohibited activities:
- Fraudulent Activity: Engage in any fraudulent, deceptive, or misleading conduct, including misrepresentation of identity, financial status, or intentions
- Illegal Activities: Use our services for any illegal purpose, including money laundering, tax evasion, or circumventing property laws
- Harassment or Abuse: Engage in harassment, abuse, threats, or intimidation towards our staff, partners, or other clients
- Intellectual Property Violation: Infringe upon our intellectual property rights or those of third parties
- System Interference: Attempt to interfere with, disrupt, or gain unauthorised access to our computer systems, databases, or networks
- Competitive Intelligence: Use our services to gather competitive intelligence for competing businesses
3. Content Guidelines and Restrictions
When providing content, feedback, or communications, you must ensure that such content:
- Does not violate any laws, regulations, or third-party rights
- Is not defamatory, obscene, offensive, or inappropriate
- Does not contain viruses, malware, or other harmful code
- Respects the privacy and confidentiality of others
- Is relevant to property services and professional in nature
4. Age Restrictions and Requirements
Our services are intended for individuals who are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are under 18, you may only use our services with the supervision and consent of a parent or legal guardian who agrees to be bound by these Terms and Conditions.
Specific User Responsibilities
1. Compliance with Laws and Regulations
You are solely responsible for ensuring compliance with:
- All UK property laws, including but not limited to the Property Misdescriptions Act and Estate Agents Act
- Anti-money laundering regulations and customer due diligence requirements
- Tax obligations related to property ownership, rental income, and capital gains
- Planning permissions, building regulations, and environmental compliance
- Local authority requirements, licensing, and permit obligations
- Foreign ownership restrictions if you are a non-UK resident
2. Indemnification Obligations
You agree to indemnify, defend, and hold harmless JRW Real Estate Ltd, its officers, directors, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your breach of these Terms and Conditions or any applicable laws
- Your use of our services or any content you provide to us
- Any property transactions you undertake based on our advice or services
- Any third-party claims arising from your conduct or actions
- Any misrepresentation or fraud on your part
3. Privacy and Data Protection
You acknowledge and agree that:
- You have read and understood our Privacy Policy
- You consent to our collection, processing, and use of your personal data as described
- You will respect the privacy of other clients and not disclose confidential information
- You will comply with data protection laws in your own handling of any data
4. Third-Party Interactions
When interacting with third parties we introduce you to (estate agents, solicitors, surveyors, mortgage brokers), you acknowledge that these are independent relationships. You are responsible for your own due diligence and compliance with any agreements you enter into with such third parties.
Liability and Warranties
1. Disclaimer of Warranties
Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We specifically disclaim:
- Merchantability: No warranty that our services will meet your specific requirements or expectations
- Fitness for Purpose: No guarantee that our advice will achieve your particular investment or property goals
- Accuracy: While we strive for accuracy, we cannot guarantee that all information provided is error-free or current
- Uninterrupted Service: No warranty that our services will be available without interruption or technical issues
- Investment Returns: No guarantee of specific financial returns or property value appreciation
2. Limitation of Liability
To the maximum extent permitted by law, JRW Real Estate Ltd's liability to you is limited as follows:
- Maximum Liability: Our total liability for any claim shall not exceed the amount of fees paid by you to us in the 12 months preceding the claim
- Direct Damages Only: We shall only be liable for direct damages and not for any indirect, consequential, or special damages
- Time Limitation: Any claims must be brought within 12 months of the event giving rise to the claim
- Professional Indemnity: Our liability is covered by professional indemnity insurance up to £1,000,000 per claim
3. Consequential Damages Exclusion
Under no circumstances shall we be liable for:
- Loss of profits, revenue, or business opportunities
- Loss of data, reputation, or goodwill
- Consequential, indirect, or punitive damages
- Property market fluctuations or investment losses
- Actions or omissions of third parties (estate agents, solicitors, etc.)
- Force majeure events beyond our reasonable control
4. Force Majeure Provisions
We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, war, terrorism, pandemics, strikes, or technical failures of third-party systems.
Legal Information and Dispute Resolution
1. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of England and Wales. Key legal provisions:
- Applicable Law: English law governs all aspects of this Agreement and our relationship
- Court Jurisdiction: The courts of England and Wales have exclusive jurisdiction over any disputes
- Regulatory Framework: We operate under UK property law and estate agency regulations
- Consumer Rights: Your statutory consumer rights under UK law are not affected by these terms
2. Dispute Resolution Procedures
In the event of any dispute arising from this Agreement:
- Initial Discussion: Parties shall first attempt to resolve disputes through good-faith discussions
- Formal Complaint: If informal resolution fails, complaints should be made in writing to our senior management
- Mediation: If required, disputes may be referred to professional mediation before legal proceedings
- Property Ombudsman: Eligible complaints may be referred to The Property Ombudsman scheme
- Legal Proceedings: As a last resort, disputes may be resolved through the courts of England and Wales
3. Severability Clause
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from this Agreement, and the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that achieves the same economic effect.
4. Terms Modification Policy
We reserve the right to modify these Terms and Conditions:
- Notice Period: Significant changes will be communicated at least 30 days in advance
- Acceptance: Continued use of our services after changes constitutes acceptance
- Right to Terminate: You may terminate our relationship if you disagree with material changes
- Version Control: The most current version supersedes all previous versions
Important Legal Notice
These Terms and Conditions constitute the entire agreement between you and JRW Real Estate Ltd concerning the subject matter herein. They supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written. No modification of these terms shall be effective unless in writing and signed by both parties.
